Customer Service Agreement

  1. The undersigned Customer hereby petitions Midwest Mortgage Credit Services, Inc. (MMCS) to render service in accordance with its customary practices, for which Customer agrees to pay promptly on billing by MMCS the fees herein provided.

  2. MMCS may from time to time diminish or increase the charges to Customer by written notice mailed or delivered to Customer at its business address and in such event Customer agrees to pay revised charges unless Customer shall terminate this agreement as hereinafter provided. This Service Agreement may be canceled at any time for good cause by MMCS.

  3. Customer hereby agrees, represents and warrants that in using the services of MMCS, including and not limited to accessing consumer reports through MMCS software installed on Customer's computer(s), Customer will in all respects comply with the provisions of 15 U.S.C. section 1681 et seq. (Fair Credit Reporting Act) and that services will be requested only for the Customer's exclusive use. Customer further certifies that consumer reports will be ordered and used only for permissible purposes: (a) in connection with a credit transaction involving the consumer on whom the information is to be furnished and involving the extension of credit to, or to review or collect an account of the consumer; or (b) in connection with any credit or insurance transaction that is not initiated by the consumer if the transaction consists of a firm offer for credit or insurance and if the consumer has not elected to have his name and address excluded from a list provided by MMCS; or ( c) in connection with the underwriting of insurance involving the consumer; or (d) in connection with identified, certified, legitimate business transactions involving the consumer. Customer agrees that consumer reports on employees will be requested only by Customer's designated representatives and employees of Customer will be forbidden to attempt to obtain reports on themselves, associates or any other person except in the exercise of their official duties.

  4. Customer further agrees, as requested, promptly to furnish by telephone or in writing to MMCS all required information covering transactions by the Customers and its consumers, and to indemnify MMCS and each of the other Customers and the officers and employees of each, jointly and severally, from any loss, damage, attorney's fees and costs arising from any claim or suit based on alleged violation of any provisions of this agreement.

  5. This agreement is for a term of twelve months and shall remain in force and be renewed automatically for successive terms of twelve months each, subject to cancellation by either party at the end of any such twelve month period on written notice mailed or delivered to the office of the other party not less than thirty days before the date for termination; further subject to the right of MMCS at any time whether during or at the end of any twelve month period and without prior notice, to terminate this agreement in event of any federal or state law or decision which affects the economic operation of MMCS or any violation by Customer of any provision of this agreement, and further subject to the right of Customer at any time, whether during or at the end of any twelve month period and without prior notice, to terminate this agreement in event of any federal or state law or decision which affects the economic operation of MMCS or any violation by Customer of any provision of this agreement, and further subject to the right of Customer at any time, whether during or at the end of any twelve month period and without prior written notice, to terminate this agreement in event of increase in charges to the Customer, as provided herein.
  6. No information furnished to Customer is guaranteed nor is MMCS in any way responsible for such information. MMCS shall not be responsible or liable for any loss caused by neglect or act of any of its servants, agents, attorneys clerks or employees in procuring, collecting and communicating any information furnished by or to Customer. No promise, statement, representation or agreement made by any employee or other representative of MMCS and not expressed in this agreement shall bind it contractually or otherwise to Customer.
  7. 15 U.S.C. section 1681 et seq. provides that any person who knowingly and willfully obtains information on a consumer reporting agency under false pretenses shall be fined under title 18, United State Code, imprisoned not more than two years, or both.
  8. 15 U.S.C. section 1681 et seq. also requires certain other responsibilities of consumer reports from consumer reporting agencies.
  9. This Agreement shall be governed by and construed under the laws of the State of Wisconsin.

Statement of Permissible Purpose for Consumer Reports

For _____________________________________________________________ (Subscriber):

Indicate by circling the one description in #2 below that describes the use of obtaining a consumer report from Midwest Mortgage Credit Services:

  1. Reseller has access to consumer reports from one or more consumer credit reporting agencies.

  2. Subscriber is a __________________ and has a permissible purpose for obtaining consumer reports, as defined by Section 604 of the Federal Fair Credit Reporting Act (15 USC 1681b) as amended by the Consumer Credit Reporting Reform Act of 1996, hereinafter called "FC RA." The subscriber certifies their permissible purpose as:

    In connection with a credit transaction involving the consumer on whom the information is to be furnished and involving the extension of credit to, or review or collection of an account of the consumer; or

    In connection with the underwriting of insurance involving the consumer or review of existing policy holders for insurance underwriting purposes, or in connection with an insurance claim where written permission of the consumer has been obtained; or

    In connection with a tenant screen application involving the consumer; or

    In accordance with the written instructions of the consumer; or

    For a legitimate business need in connection with a business transaction that is initiated by the consumer; or

    As a potential investor, servicer or current insurer in connection with a valuation of, or assessment of, the credit or prepayment risks.

  3. Subscriber certifies that it will request consumer reports pursuant to procedures prescribed by Reseller from time to time only for the permissible purpose certified above, and will use the reports obtained for no other purpose.

  4. Subscriber will maintain copies of all written authorizations for a minimum of three (3) years from the date of inquiry.

  5. THE FCRA PROVIDES THAT ANY PERSON WHO KNOWINGLY AND WILLFULLY OBTAINS INFORMATION ON A CONSUMER FROM A CONSUMER REPORTING AGENCY UNDER FALSE PRETENSES SHALL BE FINED UNDER TITLE 18, OR IMPRISONED NOT MORE THAN TWO YEARS, OR BOTH.

  6. Subscriber agrees that it shall use Consumer Report only for a one-time use, and to hold the report in strict confidence, and not to disclose it to any third parties; provided, however, that Subscriber may, but is not required to, disclose the report to the subject of the report only in connection with an adverse action based on the report.

  7. With just cause, such as delinquency or violation of the terms of this contract or a legal requirement, Reseller may, upon its election, discontinue serving the Subscriber and cancel this Agreement immediately.
